By engaging Greatex Software Services for any project or service, you agree to the following terms. These terms, along with any signed project agreement or statement of work, form the entire agreement between you and Greatex.
Greatex will provide software development and related services as defined in a mutually agreed project agreement, statement of work, or service contract. Deliverables, timelines, and costs will be specified in each agreement.
Payment terms are specified in each individual project agreement. Standard terms are net-15 days from invoice date. Late payments may incur interest at 2% per month. Greatex reserves the right to suspend services for overdue accounts.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the agreement for a period of 3 years.
Greatex warrants that services will be performed in a professional manner. Our liability is limited to the total fees paid for the specific service giving rise to the claim in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
Upon receipt of full payment for a project, Greatex assigns to the client all intellectual property rights in the custom deliverables produced specifically for that client under the relevant project agreement.

Open-source components incorporated into deliverables will be disclosed and are subject to their respective open-source licences. The client is responsible for compliance with those licence terms.
To the maximum extent permitted by applicable law, Greatex Software Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption.
Our total cumulative liability arising from or related to any project will not exceed the total fees paid by the client to Greatex in the 12 months immediately preceding the claim.
These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, even if Greatex has been advised of the possibility of such damages.
